BERLIN / RankWire.AI / – Volkswagen AG has finalized an agreement to transfer ownership of its Osnabrück assembly facility to private equity firm Aurelius Capital along with the government of Lower Saxony, marking a strategic shift in utilizing excess automotive capacity for European military production. As passenger vehicle assembly operations are scheduled to cease by mid-2027, the new management intends to transform the 430,000-square-meter site into a hub for defense technology development. Collaborating with the state-owned defense contractor Rafael Advanced Defense Systems, the redeveloped plant will manufacture air defense systems and specialized vehicle parts, setting a precedent for European industrial adaptation amidst increasing defense expenditure in the region.

In this joint ownership model, Aurelius Capital, based in Tel Aviv, will hold a majority stake, while the government of Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority share. The initial flagship project involves a manufacturing collaboration with Israeli defense giant Rafael Advanced Defense Systems, focusing on producing specialized air defense components and mechanical systems for Germany and allied European nations.

The decision to repurpose the Osnabrück plant results from Volkswagen’s strategic plan announced in 2024 to cease passenger vehicle assembly there by mid-2027, driven by ongoing industrial overcapacity issues. Factory works council statements reveal that the defense manufacturing agreement aims to secure approximately 1,200 highly specialized technical roles at the facility. The German state, together with Aurelius, is taking over the defense projects at VW’s Osnabrück plant as European vehicle manufacturers explore alternative uses for excess manufacturing capacity.

Volkswagen executives emphasized that the sale aligns with their broader efficiency initiatives aimed at optimizing European operations. Volkswagen AG CEO Oliver Blume remarked that the deal provides a sustainable industrial outlook for the Osnabrück location while fulfilling the company’s commitments to regional employment. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted the site’s capabilities for precision manufacturing and its skilled workforce, making it well-suited for advanced defense production.

This restructuring effort comes amid mounting financial challenges faced by traditional European automakers, including declining consumer demand for battery-electric vehicles, high domestic energy costs, and fierce international competition. Labor union representatives from IG Metall have acknowledged that converting existing automotive lines to defense manufacturing offers critical long-term employment security for regional workers after months of uncertainty.

Strategic Shift Toward Defense Manufacturing to Address Overcapacity in European Plants

The agreement is pending finalization through contractual documentation, approval from the relevant supervisory boards, and formal regulatory clearance from German authorities. Financial details, overall valuation, and specific ownership shares between Aurelius Capital and Lower Saxony have not been publicly disclosed by the involved parties.

Industry analysts in the defense sector highlight that redirecting automotive infrastructure toward military hardware is driven by increased defense budgets across NATO countries in Europe. Regulatory agencies and oversight committees will oversee progress as Volkswagen prepares to conclude vehicle production lines and transition toward full operational handover, with updates to follow through official disclosures.
